1. Acceptance of Terms

Welcome to Vignify Marketing Solutions. By accessing our website, hiring us for services, or signing a proposal, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.

"Client," "You," and "Your" refers to you, the person or entity accessing this website and accepting the Company’s terms and conditions. "The Company," "Ourselves," "We," "Our," and "Us" refers to Vignify Marketing Solutions, based in Vellore, Tamil Nadu.

2. Scope of Services

Vignify Marketing Solutions offers a 360-degree approach to digital marketing. Our services include, but are not limited to:

• Search Engine Optimization (SEO): On-page, Off-page, and Technical SEO audits.
• Web Design & Development: Custom websites, landing pages, and e-commerce stores.
• Pay-Per-Click (PPC): Management of Google Ads, Facebook Ads, and Instagram Ads.
• Social Media Marketing (SMM): Content creation, posting, and community management.
• Content Marketing: Blog writing, copywriting, and graphic design.

3. Client Obligations

To ensure the success of your project, the Client agrees to:

• Provide Access: Grant us necessary access to website backends (CMS), hosting panels, Google Analytics, and social media accounts.
• Timely Content: Provide text, images, and other assets required for the project within the agreed timeline.
• Approvals: Review and approve drafts, designs, or campaigns within 3 business days to avoid project delays.

4. Fees and Payment Terms

• Invoicing: Invoices will be sent via email. Payments are due upon receipt unless otherwise specified in your specific proposal.
• Advance Payment: For Web Design and one-time projects, a 50% advance deposit is required to commence work. The remaining 50% is due pre-launch.
• Monthly Retainers: For SEO and Social Media services, monthly fees are to be paid in advance at the start of each billing cycle (e.g., the 1st of every month).
• Ad Spend: Advertising budgets (payable to Google, Facebook, etc.) are the sole responsibility of the Client and are not included in our management fees.
• Late Fees: We reserve the right to pause services if payments are more than 7 days overdue.

5. SEO & Performance Disclaimer

While Vignify Marketing Solutions uses industry best practices and white-hat techniques to improve your rankings:

• No Guarantee of #1 Ranking: We do not guarantee a #1 position on Google or any specific search engine result, as algorithms are third-party systems outside our control.
• Algorithm Updates: We are not liable for ranking fluctuations caused by search engine algorithm updates (e.g., Google Core Updates).
• Timeframe: SEO is a long-term strategy. Significant results typically take 3 to 6 months to materialize.

6. Intellectual Property Rights

• Client Ownership: Upon full payment, the Client owns the final website design, content, and graphics created specifically for their project.
• Agency Rights: Vignify retains the right to use the completed project as part of our portfolio and for self-promotion. We also retain ownership of any proprietary tools, code libraries, or frameworks used to build the project.

7. Cancellation and Termination

• Notice Period: Clients on a monthly retainer (SEO/SMM) may cancel services by providing a written notice of 30 days.
• Refunds: Deposits and advance payments are non-refundable once work has commenced. No refunds are issued for partial months of service.
• Termination for Breach: We reserve the right to terminate the agreement immediately if the Client engages in illegal activities or fails to pay invoices.

8. Limitation of Liability

To the fullest extent permitted by law, Vignify Marketing Solutions shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Vellore, Tamil Nadu.
